In concert with the client’s other professionals; GCA will recommend corporate structure and initial capitalization of the business in order for outside funding can be layered in when necessary.

From time to time a company and its current lender have differing ideas on how the company should finance their business going forward. Conditions change as banks merge resulting in a very different lending environment, the company may have suffered a temporary reversal in conditions as well as other circumstances.

GCA has access to senior and junior debt capital sources that can be brought in to help the company with organic growth or acquire other companies. Our professionals work with owners and key executives to develop a comprehensive financial model that highlights the overall financing needs and structure of the financing the company requires going forward.

Companies that acquire a complementary business will likely need additional funding to purchase the target company. The existing lender may not have the ability or interest in financing the acquisition as this transaction may change the risk profile of their borrower and require a new lender to fund the needs of the larger enterprise.

Owners of businesses that decide to retire from their company; may elect to sell their company to their trusted employees. Often these potential buyers are the best suited to acquire this business but have limited resources to invest. They also have difficulty in negotiating with the seller as it may well be the person that signs their paychecks and used to having it their way. GCA is brought in to negotiate on behalf of the buyers and create some space between buyer and seller. In addition, GCA will obtain the financing that is necessary to finalize the purchase.

Although GCA is not known for its expertise in real estate financing; it has been a component in more than half our past assignments. These real estate financings could have been part of a larger funding or a stand-alone financing that may require our firm teaming up with affiliates that have extensive experience in large multi-family projects, healthcare facilities and other sizable real estate developments that require significant financing. In smaller owner operator financings; GCA will help with SBA and other conventional funding sources.
